Terms of use
The rules that apply when your firm uses the service.
Effective date: October 24, 2026
About these terms
These terms are an agreement between your bookkeeping firm and IT-TECH, which operates Cosigne (“we”, “us”). By creating a firm or accepting an invitation, you accept them. Our privacy notice explains how we handle personal information. Our data processing agreement covers the personal information we handle for your firm; on those matters, it takes precedence over these terms.
In these terms, “your firm” means the bookkeeping firm that creates the account. A business owner who signs up for their own company is treated as the firm.
The service
Cosigne is a hosted connector (MCP server) for QuickBooks Online Canada that works with Claude and ChatGPT (each an “AI assistant”). It lets each bookkeeper’s own AI assistant read, search and report on clients’ books, reviews GST/HST, PST and QST, and prepares changes as drafts. It works with QuickBooks Online Canada only.
Accounts and firms
- The person who creates a firm becomes its master bookkeeper. The master bookkeeper invites people, assigns clients, manages billing and decides what the AI assistant may approve.
- Each person has their own login and keeps it to themselves. One person can belong to several firms.
- Your firm is responsible for what its users do in the service.
- Your firm confirms it is authorized by its clients to connect their QuickBooks files.
Trial and billing
- The free trial lasts 14 days, covers up to 10 client files and needs no card.
- After the trial, your firm is billed monthly, by card, for its connected client files, at the prices on our pricing page. Files that need reconnecting or are disconnected are not billed. Changes during the month are prorated.
- Prices are in Canadian dollars.
- If a payment fails, you keep full access while it is retried.
- You can change your card, see invoices or cancel at the end of the period from the billing portal.
- Payments go through Stripe, and IT-TECH bills you: charges show as IT-TECH.CA on your card statement.
- We will give notice by email before any price change applies to your firm.
Drafts and approvals
Nothing is written to QuickBooks until a bookkeeper approves it. Closed periods are never changed. The master bookkeeper can let the AI assistant approve some kinds of change; that is off by default, and voids and deletes never come from an AI assistant.
Review each draft before you approve it. Your firm is responsible for the changes its bookkeepers approve, and for those an AI assistant approves under settings your firm turned on.
Not an accountant
Cosigne is a tool for bookkeepers. It is not an accountant and does not give tax advice. It flags things for review and explains why; unusual items are marked “check this”, not “wrong”. It does not file returns, run payroll or do year-end work. Your firm and its clients’ accountants make the decisions.
Acceptable use
You agree not to:
- connect files you are not authorized to work on;
- try to reach another firm’s data or get around client restrictions;
- disrupt, overload or probe the service, or copy or resell it;
- use it against the law.
Other services
The service works with QuickBooks Online (Intuit), Claude (Anthropic), ChatGPT (OpenAI) and Stripe. Each one is provided under its own terms, which you accept with that provider. Each bookkeeper’s own Claude or ChatGPT subscription pays for the AI. We don’t control those services, and Intuit, Anthropic and OpenAI have not reviewed, approved or endorsed Cosigne.
Your data
Your firm’s data stays yours. You can read and export it at any time, including while the firm is read-only. Our data processing agreement sets out how we protect, keep and delete it.
Availability
We work to keep the service available, but we don’t guarantee it will be uninterrupted. We may pause it for maintenance.
Read-only, cancellation and deletion
If a trial ends without a card, a subscription is unpaid or your firm cancels, the firm becomes read-only: no syncs, approvals or new client connections, and the AI assistant is told the subscription is inactive. Reading and exports keep working. After warnings on day 23 and day 29, the firm is deleted on day 30. Adding a card before then restores everything. Backups are gone within 35 days of deletion.
We may suspend a firm that breaks these terms, after notice when possible.
Liability
To the extent the law allows, our total liability is limited to the fees your firm paid us in the 12 months before the event giving rise to the claim.
Governing law
These terms are governed by the laws of Québec and the laws of Canada that apply there.
Language
These terms are available in French and English. Both versions are equally valid.
Changes to these terms
We will post any change on this page with a new effective date. We will tell firms by email before a significant change applies.
